1. Introduction & Service Description
Welcome to WasabiApp. These Terms and Conditions govern your use of our service. By registering and using WasabiApp, you agree to be bound by these terms.
WasabiApp is a SaaS platform that enables businesses to create and manage online shops with integrated WhatsApp ordering capabilities. We provide multiple subscription tiers to suit different business needs.
2. Nature of Service (SaaS Only)
WasabiApp.my ("The Platform") is strictly a technology service provider. We provide software tools for users ("Merchants") to generate WhatsApp order links and manage their online shops. We are NOT a marketplace, payment processor, or party to any transaction. Any contract for sale is directly between the Merchant and their customer.
3. Subscription Tiers & Features
WasabiApp offers four subscription tiers, each with specific features and limitations:
- 1 shop maximum
- Up to 10 products per shop
- Basic shop management features
- QR code generation
- WhatsApp order integration
- Email support (48-72 hour response)
- No payment required
- No expiration date
- Account remains active indefinitely
- Up to 3 shops
- Up to 50 products per shop
- Full product management capabilities
- Product categories and variants
- QR code generation for all shops
- Order tracking and history
- Email notifications for orders
- Priority email support (24-48 hour response)
- Annual plan saves RM 30/year (17% discount)
- Subscription requires renewal after expiry
- Unlimited shops
- Unlimited products across all shops
- Shop analytics - Views, orders, performance metrics
- Advanced product management
- Custom QR code styling
- Comprehensive order tracking
- Email and Telegram notifications
- Priority support with faster response times (12-24 hours)
- Annual plan saves RM 70/year (17% discount)
- Subscription requires renewal after expiry
- All features from Pro tier
- Advanced analytics dashboard
- Multi-shop analytics - Compare performance across shops
- Sales trends and forecasting
- Customer behavior tracking
- Product performance insights
- Export reports to CSV format
- API access (coming soon)
- Premium support with dedicated assistance (within 12 hours)
- Annual plan saves RM 120/year (17% discount)

4. Billing and Payment
4.1 Billing Cycles
Subscriptions are billed on either a monthly or annual basis, as selected during registration or upgrade:
- Monthly Billing: Charged every 30 days from the date of subscription activation
- Annual Billing: Charged every 365 days from the date of subscription activation, with a 17% discount compared to monthly billing
4.2 Payment Methods
We accept payments through:
- ToyyibPay: FPX online banking from all major Malaysian banks
- Bayarcash: DuitNow QR payment (when available)
4.3 Manual Renewal
Important: Subscriptions do NOT automatically renew. You will receive email notifications before your subscription expires, reminding you to renew manually. You must initiate the renewal process yourself.
5. Upgrading Your Subscription
5.1 How Upgrades Work
When you upgrade to a higher tier (e.g., from Starter to Pro or from Pro to Analytics Pro):
- Immediate Activation: The new tier features are activated immediately upon payment confirmation
- New Billing Cycle Starts: A completely new subscription period starts from the upgrade date
- Previous Subscription Forfeited: Any remaining time on your previous subscription is forfeited (no refunds or credits)
- Full Payment Required: You must pay the full price of the new tier
- Instant Feature Access: You immediately gain access to all features of the higher tier
- Billing Cycle: Follows the billing frequency you select (monthly or annual)
5.2 Upgrade Example Scenario
Current Status:
- Tier: Starter Monthly (RM 15/month)
- Remaining time: 15 days left on current subscription
You decide to upgrade to Pro Monthly (RM 35/month)
What Happens:
- Payment required: RM 35 (full Pro monthly price)
- Activation: Immediate - Pro features unlock right away
- New expiry date: 30 days from today (upgrade date)
- Previous subscription: Remaining 15 days forfeited (no refund)
- Features: Unlimited shops, analytics, priority support - all available immediately
- New billing cycle: Starts fresh from upgrade date
5.3 Upgrade from Free Tier
If you're upgrading from the Free tier, you simply pay for your chosen tier and your account is immediately upgraded. There's nothing to forfeit since the Free tier is perpetual.
6. Downgrading Your Subscription
6.1 How Downgrades Work
When you downgrade to a lower tier (e.g., from Pro to Starter or from Analytics Pro to Pro):
- Delayed Activation: The downgrade takes effect at the END of your current billing period, NOT immediately
- Payment Required Now: You must pay for the lower tier subscription at the time of downgrade request
- Pending Status: Your account shows "Pending Downgrade to [Tier]" status
- Keep Current Features: You continue to enjoy all features of your current higher tier until the period ends
- Automatic Switch: On the expiry date of your current subscription, your account automatically switches to the lower tier
- New Billing Cycle: A new subscription period starts from the switch date
6.2 Downgrade Example Scenario
Current Status:
- Tier: Pro Monthly (RM 35/month)
- Remaining time: 20 days left on current subscription
You decide to downgrade to Starter Monthly (RM 15/month)
What Happens:
- Payment required: RM 15 (paid immediately)
- Current status: Shows "Pending Downgrade to Starter"
- Access for next 20 days: All Pro features remain available (unlimited shops, analytics, priority support)
- After 20 days (on expiry): Automatically switched to Starter tier
- New billing cycle: 30 days from the switch date
- Features after switch: Only Starter tier features (3 shops max, unlimited products, basic analytics disabled)
6.3 Feature Limitations After Downgrade
When your account switches to a tier with lower limits, here's what happens to your existing data:
- If you have more shops than the new tier allows, excess shops will be marked as inactive
- Inactive shops are not deleted - they're preserved in the system
- You can reactivate shops by upgrading back to a higher tier
- Example: Pro user with 5 shops downgrades to Starter (3 shops limit) - 2 shops become inactive
- For Free tier (10 products limit): Products beyond the limit are hidden but not deleted
- You can choose which products to display (up to the limit)
- Hidden products are restored when you upgrade
- Historical analytics data is preserved
- You cannot access analytics dashboards or reports in lower tiers
- Data becomes accessible again when you upgrade back to Pro or Analytics Pro
- CSV export functionality is only available in Analytics Pro tier
- Previous exports remain in your downloads
- New exports require upgrading to Analytics Pro
6.4 Downgrade to Free Tier
If you downgrade to the Free tier:
- No payment required
- Downgrade takes effect at the end of your current paid subscription
- Only 1 shop with 10 products will remain active
- You can choose which shop to keep active
- All other data is preserved for 90 days
7. Subscription Expiry and Renewal
7.1 Expiry Notifications
When your subscription approaches expiry:
- 7 days before expiry: First email notification sent
- 3 days before expiry: Second email notification sent
- 1 day before expiry: Final email notification sent
- On expiry date: Account access restricted
- After expiry: Redirected to subscription renewal page when attempting to log in
7.2 Grace Period
Important: There is NO grace period after expiry. You must renew your subscription to regain access to your shops and data. However, your data is retained for 90 days.
7.3 Data Retention
- Your data (shops, products, order history) is retained for 90 days after subscription expiry
- After 90 days, data may be permanently deleted
- Renew within 90 days to restore full access to all your data
- After renewal, all data and settings are restored automatically
8. Refund Policy
NO REFUNDS: All payments are non-refundable. We do not offer refunds for:
- Partial billing periods or unused time
- Remaining time when upgrading to a higher tier
- Early cancellation or account closure
- Change of mind or buyer's remorse
- Service dissatisfaction
- Technical issues caused by user error
9. Merchant Responsibilities & Indemnification
You agree to indemnify and hold WasabiApp.my harmless from any claims, legal fees, or damages arising from:
- The products or services you sell (including food safety, legality, quality, or delivery issues)
- Your violation of any laws (including business licensing, tax obligations, and consumer protection laws)
- Any dispute between you and your customers
- Intellectual property violations (selling counterfeit or infringing products)
- Misrepresentation of products or services
10. Prohibited Activities
We reserve the right to terminate your account immediately without refund if you use the platform to:
- Sell illegal goods, weapons, drugs, or prohibited substances
- Run scams or fraudulent schemes
- Distribute prohibited content under Malaysian law
- Violate intellectual property rights
- Engage in harassment or hate speech
- Abuse the service or create excessive load on our systems
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WASABIAPP.MY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
Our total liability for any claim arising out of your use of the service is strictly limited to the amount you paid us for the current subscription period. We are not responsible for lost profits, lost data, business interruption, or damages caused by server downtime, software bugs, or third-party service failures.
12. "As Is" Service
The service is provided "as is" without warranties of any kind. We do not guarantee that the service will be:
- Uninterrupted or error-free
- Available 24/7 without maintenance
- Free from bugs or security vulnerabilities
- Compatible with all devices or browsers
You are responsible for backing up your own data and maintaining alternative business processes.
13. Service Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance windows will be announced in advance when possible. Emergency maintenance may occur without notice.
14. Account Termination
We reserve the right to suspend or terminate accounts that:
- Violate these terms and conditions
- Engage in fraudulent activities
- Abuse the service or create excessive load
- Use the service for illegal purposes
- Fail to pay subscription fees
15. Modifications to Terms
We reserve the right to modify these terms at any time. Users will be notified of significant changes via email. Continued use of the service after changes constitutes acceptance of modified terms.
16. Governing Law
These terms are governed by the laws of Malaysia. Any disputes shall be resolved exclusively in the courts of Malaysia.
